Wizard World, Inc. Announces Third Quarter 2013 Results

NEW YORK & LOS ANGELES, November 22, 2013 – Wizard WorldThird Quarter Summary

Convention revenue was $4,113,181 for the three months ended September 30, 2013, as compared to $2,792,907 for the comparable period ended September 30, 2012, an increase of $1,320,274 year over year or over 47%. The Company operated two events during the period ended September 30, 2013, as compared to two events during the comparable period ended September 30, 2012.

Average revenue generated per event in the third quarter of 2013 was $2,056,591 as compared to $1,396,454 during 2012. This is the third full quarter in which revenue per event rose by more than 47% on year over year basis.

Operating expenses for the three months ended September 30, 2013, was $928,776, as compared to $734,087 for the three months ended September 30, 2012. The increase is primarily attributable to an increase in salaries and employee headcount as well as share based payments that were made to the Chief Executive Officer upon committing to work for the Company.

Other income (expense) for the three months ended September 30, 2013, was $(2,225,570), as compared to $1,057,744 for the three months ended September 30, 2012. The decrease is primarily attributable to the loss on the fair value of the Company’s derivative liabilities.

Income from operations for the three months ended September 30, 2013, was $1,096,824 as compared to $646,543 for the three months ended September 30, 2012.

Net income (loss) attributable to common shareholder for three months ended September 30, 2013, was $(1,215,115) or loss per share of $ (0.03), as compared to $1,233,141 or income per share of $0.04, for the three months ended September 30, 2012.

Effective August 21, 2013, our Series A Preferred Shareholders converted all outstanding shares of Series A Cumulative Convertible Preferred Stock into approximately 9.5 million shares of the Company’s common stock. We issued approximately 1.6 million shares of common stock as payment for accrued and unpaid dividends related to such conversion. In addition, all outstanding Series A Common Stock Purchase Warrants were exchanged for approximately 4.0 million shares of common stock.

Net cash provided by (used in) operating activities for the nine months ended September 30, 2013 and 2012, was $1,306,712 and $310,949, respectively. The net income (loss) attributable to common shareholder for the nine months ended September 30, 2013 and 2012, was $(0.09) and $(0.08), respectively. The Company’s cash provided by (used in) operations increased primarily due to operating profitable events.

The Company believes that our existing available cash, along with our cash flows from operations will enable the Company to meet the working capital requirements for at least 12 months. The estimated working capital requirement for the next 12 months is $2,520,000 with an estimated burn rate of $210,000 per month. The Company continues to explore potential expansion opportunities in the industry in order to boost sales while leveraging distribution systems to consolidate lower costs.

Highly-Anticipated 50th Anniversary Special Doctor Who: The Day of the Doctor to be Shown at Austin Convention Center in Conjunction with Simulcast on BBC AMERICA and in Over 75 Countries

Doctor_Who_BannerThe Wizard World Austin Comic Con Doctor Who 50th Anniversary Celebration Event will begin on Saturday, November 23 with a fan meetup at 1:00pm CT followed by the simulcast screening at 1:50pm CT in Ballroom D at the Austin Convention Center. The Celebration is open to all Austin Comic Con attendees, with space limited to the capacity of the hall.

The centerpiece of BBC AMERICA’s Doctor Who 50th Anniversary celebrations is the global simulcast of Doctor Who: The Day of the Doctor, written by Steven Moffat. Fans of movies, TV, cosplay, comics, graphic novels, toys, games, sci-fi, sports entertainment, music and more across the U.S. will now be treated to a whopping 15 events in 2014, potentially with room for additional expansion.

Wizard World promises to continue bringing top-level celebrities for autographs, photo ops and panel programming as well as top rated TV show and blockbuster film and game releases to engage with the Comic Con audience. Additionally, while industry trends show artists exhibition areas shrinking at many other convention show floors, Wizard World has a strong commitment to including leading and up-and-coming comic book artists and writers from the U.S. and from all over the world. NEW YORK and ROSEMONT, Ill., July 29, 2013 – From interactive Q&As with celebrities like Stan Lee, Michael Shannon, Robert Rodriguez, John Barrowman and WWE® Superstar CM Punk® to reunions of the “Firefly” and “Smallville” casts to comics panels, costume contests, evening parties and more, Wizard World Chicago Comic Con today unveiled its most robust and diverse programming schedule ever, with more than 100 hours scheduled over the full four days in a total of nine programming rooms at the Donald E. Stephens Convention Center, August 8-11.

Some of the featured programming includes:

  • Q&A sessions with Lee, Shannon, Barrowman,Manu Bennett, Zachary Quinto, James Marsters, Jon Heder, Wil Wheaton, Ralph Macchio, Jason David Frank and many others.
  • WWE extravaganza, featuring a session with Punk and one with WWE® Diva AJ Lee, WWE® Hall Of Famer Ricky “the Dragon” Steamboat™ andWWE® Superstar Dolph Ziggler™.
  • Cast reunions of “Firefly” (Morena Baccarin, Summer Glau, Alan Tudyk) “Smallville” (Aaron Ashmore, Allison Mack, Michael Rosenbaum, Marsters) and “Warehouse 13” (Ashmore, Eddie McClintock).
  • “A Conversation With… Robert Rodriguez,” an evening with the noted filmmaker (first admission for all VIPs, general admission free or suggested donation).
  • Comics-themed panels headed by some of the top names in the industry, including Neal Adams, Michael Golden, Greg Capullo, Scott Snyder, Chris Claremont, Alan Davis, Rob Prior and Esad Ribic.  Superman, Batman and X-Men fans will take special delight in a few of them.
  • Costume contests for adults (Saturday night) and kids (Sunday) bring out the best cosplayers in the Midwest!

NEW YORK, June 13, 2013 – Eisner Award Hall of Famer Neal Adams will create the fourth in a series of exclusive Wizard World variant covers of Robert Kirkman’s The Walking Dead #1 comic, provided for free to all full-price attendees at Wizard World Comic Con NYC Experience, June 28-30 at Basketball City (Pier 36) in Manhattan.  Wizard World and Skybound, Kirkman’s imprint at Image Comics, have teamed to produce the line.

Adams will be on hand at Wizard World Comic Con NYC Experience to sign copies of the limited-edition comic,  produced in extremely limited quantities and available to fans only while supplies last.  The first three covers, illustrated by superstar artists Michael Golden, “Zombie King” Arthur Suydam and Julian Totino Tedesco, respectively, were huge hits at Wizard World events in Portland (February, Golden), St. Louis (March, Suydam) and Philadelphia (June, Tedesco).  A different creator will draw the variant cover art for each of the remaining scheduled Wizard World shows this year.

Adams has also drawn a second, sketch Black & White cover, which will be provided to VIP guests at the event.

Independent third-party comic book grading service CGC, a leader in the industry, will accept TWD #1 variant and Signature Series submissions at its Wizard World NYC Experience exhibitor booth.

The Wizard World Comic Con NYC Experience will be a bonanza for fans of the AMC series based upon The Walking Dead, as headliners Norman Reedus (“Daryl Dixon”), Laurie Holden (“Andrea”), Michael Rooker (“Merle Dixon”), Jon Bernthal (“Shane Walsh”) and Chandler Riggs (“Carl Grimes”) will appear at the event. Wizard World Announces 1.7+ million in Convention Revenue for 1st Quarter of 2013

Wizard World, Inc. Announces Record First Quarter 2013 Results

New York, NY, Los Angeles, CA, June 10, 2013 – Wizard World, Inc. (OTCBB: WIZD) announced record financial results for the quarter ended March 31, 2013 today.

Wizard WorldCEO John Macaluso noted that the plan the company put in place less than twelve months ago continues to show positive results and record improvements. “I am pleased to report that Wizard World continued its financial improvement with a record quarter that saw revenues more than triple from a year ago earlier.  Our team did this with while providing positive earnings to our shareholders and delivering a fun and special experience to our customers.”

Q1 Financial Summary

Convention revenue was $1,793,476 for the three months ended March 31, 2013, as compared to $520,155 for the comparable period ended March 31, 2012, an increase of $1,273,321.  The Company produced two events during the period ended March 31, 2013, as compared to one event during the comparable period ended March 31, 2012.  Average revenue generated per event in 2013 was $896,737 as compared to $520,155 during 2012.

Gross profit percentage increased from a gross profit of 29% during the three months ended March 31, 2012, to a gross profit of 46% for the three months ended March 31, 2013.  The increase in convention revenue is primarily attributable to running better advertised and marketed events while expanding our in convention offerings and continued cost control procedures.

Operating expenses for the three months ended March 31, 2013, was $690,507, as compared to $508,419 for the three months ended March 31, 2012.  The $182,088 increase is primarily attributable to an increase in labor costs

Income (loss) from operations for the three months ended March 31, 2013, was $126,092 as compared to a loss of $355,024 for the three months ended March 31, 2012.  The increase is primarily attributable to running more profitable events during the three months ended March 31, 2013 as compared to the three months ended March 31, 2012.

Other income (expense) for the three months ended March 31, 2013, was $1,048,765, as compared to $51,121for the three months ended March 31, 2012.  The increase is primarily attributable to the gain on the fair value of the Company’s derivative liabilities.

Net income (loss) attributable to common shareholder for three months ended March 31, 2012, was $1,104,176 or income per share of $0.03, as compared to $(357,774) or loss per share of $(0.01), for the three months ended March 31, 2012.  The per share amounts are calculated net of deemed dividends.

Net cash provided by (used in) operating activities for the three months ended March 31, 2013 and 2012, was $191,861 and $(221,606), respectively.  The net income (loss) attributable to common shareholder for the three months ended March 31, 2013 and 2012 was $1,104,176 and $(357,774), respectively.  The Company’s cash provided by (used in) operations increased primarily due to running profitable events.

The Company believes that our existing available cash, along with our cash flows from operations will enable the Company to meet the working capital requirements for at least 12 months. The estimated working capital requirement for the next 12 months is $2,300,000 with an estimated burn rate of $190,000 per month. The Company continues to explore potential expansion opportunities in the industry in order to boost sales while leveraging distribution systems to consolidate lower costs.
